19 Aug 2026 ¶

 WHEREAS, the Legal Affairs Committee was established as an
 Executive Committee of the Board of Directors by resolution of
 28 March 2007 (Special Order 6C), responsible for establishing
 and managing legal policies; and

 WHEREAS, those functions have in practice been carried out
 through the office of Vice President, Legal Affairs, and the
 Board deems it to be in the best interests of the Foundation
 that they continue under a clear delegation of authority to
 that office;

 NOW, THEREFORE, BE IT RESOLVED, that the Legal Affairs Committee
 is hereby dissolved as a committee of the Board, and all actions
 taken by or under its authority are hereby ratified and
 affirmed; and be it further

 RESOLVED, that the office of Vice President, Legal Affairs,
 appointed by and serving at the direction of the Board, be and
 hereby is continued, with responsibility for the legal affairs
 of the Foundation, including custodianship of the Apache License,
 establishing and maintaining legal policy binding on the
 Foundation's projects and officers, and resolving legal questions
 raised by projects and officers, with such resolutions binding on
 the requesting party, in each case unless the Board directs
 otherwise. The legal affairs of the Foundation include
 any matter, in whatever area of the Foundation's activities it
 arises, concerning the licensing, provenance, or terms governing
 contributions to and releases of the Foundation's projects; the
 Foundation's intellectual property; contracts and agreements
 entered into by the Foundation; and the regulatory and statutory
 obligations applicable to the Foundation or its projects; and be
 it further

 RESOLVED, that guidance issued by other officers and committees
 within their own areas of responsibility shall be consistent
 with legal policy so established, with questions of
 interpretation of such policy resolved by the Vice President,
 Legal Affairs; and be it further

 RESOLVED, that all policies and guidance previously adopted by
 or under the authority of the Legal Affairs Committee, including
 those published at https://www.apache.org/legal/, remain in full
 force and effect as policies of the Vice President, Legal
 Affairs until amended or revoked by that officer; and be it
 further

 RESOLVED, that matters concerning the Bylaws of the Foundation,
 the initiation or settlement of litigation, and modification of
 the Apache License remain reserved to the Board, and that
 trademark and brand management matters remain delegated to the
 Vice President, Brand Management; and be it further

 RESOLVED, that the Vice President, Legal Affairs may delegate
 responsibilities to a legal team of the Vice President's
 choosing, shall document the scope and current policies of the
 office at https://www.apache.org/legal/, and shall continue to
 report monthly to the Board.
