About This Script

The ASF is a 501C3 non-profit corporation in the US - and there's a lot going on the corporate side of the ASF, to keep the corporate records and infrastructure that the many Apache projects you use working.

Below is a listing of the officers and people who make the corporate side of the ASF work. Here are a few more links that explain how corporate governance works at the ASF, which is separate from how Apache PMCs work.

  • By Delaware corporate law, and per our bylaws, Directors are jointly responsible as the board with overseeing the ASF’s work:

    “The business and affairs of the corporation shall be managed by or under the direction of the Board of Directors, which may exercise all such powers of the corporation and do all such lawful acts and things as are not by statute or by the Certificate of Incorporation or by these Bylaws specifically reserved to the members.”

    Given our volunteer-run structure and our emphasis on the Apache Way, Directors are also expected to follow various behaviors like doing decision-making on our mailing lists. A more general description of how directors work is in our Board Governance section.

  • Tasks

  • Historically, some historically expected Director duties include:

    • Monitoring the board@ mailing list for questions and important discussion items.
    • Reviewing all posted board reports, and making preapprovals or comments before our scheduled monthly teleconference.
    • Acting as a shepherd to a selection of project board reports each month, to ensure any concerns or questions about the project are relayed back to that PMC.
    • Attending occasional (less than once a year) F2F meetings in person, to work on strategic issues.
    • Wearing our ‘Director hat’ with care, and measuring the words we write with respect to the whole Foundation.

    The Board noted at our May, 2019 meeting that we intend to clarify and expand on these duties, and ensure that each year’s board has the same shared understanding.
