  • Formal duties

  • Create an [VP and] Executive Committee charged with establishing and managing legal policies based on the advice of legal counsel and the interests of the Foundation.

  • Goals

  • Oversee decisions and documentation of any legal questions by projects.

  • Tasks

    • Signoff on legal policy changes or project questions.
    • Manage any pro bono or other legal counsel relationships.
    • Track Legal JIRA queue.
  • Interaction

  • Interactions with VP Legal and with the committee should occur in the following ways.

    1. A question is asked on legal-discuss@, that results in a JIRA issue with a decision after consideration and input from needed parties. VP Legal resolves JIRA issues, and in some small cases a member of the Legal Committee may as well.
    2. A question is asked on legal-discuss@ that doesn’t require a JIRA issue and is resolved in-thread with input from needed parties. VP Legal ideally chimes in, but potentially not and may potentially be resolved by members of the Legal Committee or others.
    3. A question that requires Pro Bono Counsel advice is asked of VP Legal either by direct TO: address, and/or by asking legal-internal@ (considering possibly using BCC unless absolutely necessary). VP Legal interfaces with Pro Bono Counsel, gets the answer (either on legal-internal@ or with discussion brought back to legal-internal@ and to the requestor).

In cases of 1-3 if there is some lasting update that requires update to our policies, or some other means, then those updates will be enacted by VP, Legal to the website and pushed in a more static permanent, and possibly public URL.
